article I.

GENERAL TERMS AND CONDITIONS

These General Terms and Conditions govern the terms of concluding contracts for the carriage of persons and their luggage between the Carrier and the Customer, as well as the subsequent execution of the transport and the conditions under which the transport of persons and luggage is provided and carried out by the Carrier. These Terms and Conditions are always an integral part of the contract of carriage concluded between the Carrier and the Customer.

Definitions:

Application means a closed electronic information system operated by the Carrier, including:

  1. a) driver application,
  2. b) customer application,
  3. c) dispatcher system.

Carrier means Panda Ride s.r.o., Company ID No.: 06450547, registered office: Rooseveltova 597/27, Bubeneč, 160 00 Prague 6, and its employees or persons authorized to carry out the transport.

One-time Ride means one-time, non-recurring carriage of persons or luggage by the Carrier based on the Customer’s request.

Regular Ride means the carriage of persons or luggage by the Carrier based on the Customer’s request, where the Transport Contract is concluded for recurring performance or several different performances by the Carrier for the Customer. Regular rides are concluded either in the annual mode (with automatic renewal) or in the flexible mode.

User/Customer means any person who registers in the Panda Ride Application, concludes a Transport Contract with the Carrier, or uses the Carrier’s services within the transport of persons or luggage, including children (for whom the Transport Contract is concluded by a parent or other legal guardian or authorized person).

Transport Contract means a contract for the carriage of persons or a contract for the carriage of luggage pursuant to the provisions of Act No. 89/2012 Coll., the Civil Code, as amended. Transport is offered in the modes of a one-time ride or regular ride (further distinguished into annual mode with automatic renewal or flexible mode). The choice of transport mode is up to the Customer and must be made when concluding the Transport Contract.

Driver means the driver of the Vehicle.

GTC means these General Terms and Conditions of the Carrier.

Vehicle means a vehicle operated by the Carrier or an authorized contractual partner of the Carrier performing the carriage of persons and their luggage.

Prohibited Luggage means luggage excluded from transport. These include explosives, weapons and ammunition, gases and chemicals, flammable materials, radioactive material, poisons, narcotic and psychotropic substances, luggage over 50 kg/piece..

Luggage means luggage transported together with the passenger in the Vehicle.

article II.

PANDA RIDE APPLICATION, CUSTOMER REGISTRATION, SECURITY AND PROTECTION OF THE APPLICATION 

  1. General information about the Application

The Panda Ride App serves as a tool for managing and tracking regular rides, route planning, viewing estimated time of arrival (ETA), vehicle tracking, and account management. Use of the App requires registration and creation of a user account.

  1. Consent to GTC and GDPR, Location sharing

By using the Application and/or registering, the User agrees to these GTC, which form part of the Transport Contract (if concluded), and to the processing of personal data, including location data, in accordance with GDPR.

  • The client acknowledges and agrees that when using the application, their location may be collected and processed via GPS or other location services, including in the background, if such functionality is enabled on the device.

  • The purposes of processing location data are:
    (a) to ensure the proper functioning of the application and services (driver assignment, navigation, pick-up and drop-off location),
    (b) to ensure the safety and reliability of transport,
    (c) to monitor quality and optimize operations.
    Location data is not used for marketing purposes and is not shared with third parties for their commercial use.

  • Location sharing occurs only while the client is logged into the application and actively using the service, or for a short period of time immediately before and after the transport service (e.g., to notify the driver of arrival or to complete the ride).

  • The client may change or withdraw their consent to location sharing at any time in the device or app settings. Withdrawing consent may limit or prevent certain app features and services from functioning.

  • Further details on the processing of personal data and the client’s rights are provided in the Data Protection Policy of the Company, which the client has been informed about.

 

  1. Registration in the Application

Registration in the Panda Ride Application is mandatory for using the Carrier’s services and includes the provision of the following information:

  • Customer’s full name, date of birth, home address, email, phone number,
  • In case of transport of Customer’s children – registration of children (name and surname, age, date of birth, and a photo of the child, phone number, possibly the specified school) + a statement by the Customer that they are the legal guardian of the registered child,
  • Consent to these GTC,
  • Consent to the processing of personal data (GDPR) of the Customer and their children.

The Customer agrees that all photographs of persons uploaded to the Application (intended for transport by the Carrier) may be processed by the Carrier, made available to the Driver performing the transport, and retained in its database.

As part of the registration, the Customer selects the transport mode (see Article III of the GTC).

By registering in the Panda Ride Application and selecting the service mode, a Transport Contract is concluded between the Customer and the Carrier, and by registering in the Application, the Customer automatically agrees to these GTC and to the processing of personal data.

  1. Registration process (Onboarding)
  • The Customer is created in the system by an administrator with the name, email, and possibly the school,
  • The Customer receives an onboarding email with instructions, a link to the Application, and a link to set the password,
  • The Customer fills in the registration form(s) in the Application,
  • The Customer is informed that their profile is pending approval, including a link to these GTC,
  • After profile activation by the administrator, the Customer receives a push notification about the activation, and the Application becomes fully functional, allowing the Customer to use it for transport services provided by the Carrier.
  1. Customer obligations when using the Application
  • The Customer is obliged to provide truthful, current, and complete information,
  • The Customer is responsible for the security of their login credentials and all activities carried out under their account,
  • The Customer is required to keep their contact and registration details up to date, especially phone number and email address,
  • The Customer must not further distribute, rent, copy, sublicense, transfer to another person, or use the Application in any way other than as expressly permitted by these GTC,
  • The Customer agrees to secure their device and login credentials against misuse.

 

  1. Limitation of liability for the Application, priority of information provided by the Carrier
  • Information displayed in the Application regarding transport is for informational and indicative purposes only and may vary depending on traffic conditions, technical circumstances, or other factors beyond the Carrier’s control.
  • The Application may contain temporary inaccuracies or function outages (e.g., location tracking, ride updates).
  • Estimated time of arrival (ETA), vehicle location, or ride alerts are only indicative and do not guarantee an exact time schedule.
  • The Carrier is not liable for damage caused by incorrect use of the Application, Customer’s internet connection failure, device localization error, or indicative data displayed in the Application.
  • In case of discrepancy between data shown in the Application and information provided directly by the Carrier (by email, phone, SMS, WhatsApp, etc.), the information communicated by the Carrier prevails.

 

  1. Copyright and Protection of the Application

All content and functions of the Application, including the database structure, design, software solution, and algorithms, are subject to copyright. The Customer acknowledges that any unauthorized use or interference with the Application may be legally prosecuted.

Users agree not to themselves or through third parties:

  • Bypass, modify, or otherwise interfere with the security features of the Panda Ride Application,
  • Upload any files that may contain malicious code, viruses, Trojan horses, or other harmful software,
  • Attempt unauthorized access to other Users’, Drivers’, or system accounts,
  • In any way interfere with the stability, security, or functionality of the system.

 

  1. Blocking of the account in the Application

If the Carrier has reasonable suspicion that an account is being used by an unauthorized third party or in violation of these GTC, it is entitled to immediately block or cancel the account. The Customer is required to provide the Carrier with all necessary cooperation to clarify the situation and potentially restore the account.

  1. Reporting security incidents (loss of access/misuse of account in the Application)

In case of loss of access or suspected misuse of the account in the Application, the User is required to immediately notify the Carrier.

article III.
TRANSPORT MODES

The choice of transport mode is up to the Customer and must be made when concluding the Transport Contract. The Carrier provides the following transport service modes:

A) ONE-TIME RIDE

One-time carriage of persons or luggage by the Carrier based on the Customer’s request.

B) REGULAR RIDE – FLEXIBLE MODE (“ACTIVITIES MODE”)

Recurring carriage of persons or luggage by the Carrier based on the Customer’s request. A Transport Contract concluded in this mode is entered into for an indefinite period with the possibility of termination without stating a reason by both the Customer and the Carrier with a two-month notice period, starting from the first day of the month following the delivery of the notice.

C) REGULAR RIDE – ANNUAL WITH AUTOMATIC RENEWAL (“SCHOOL MODE”)

Recurring carriage of persons or luggage by the Carrier concluded for a fixed term – i.e., for the entire school year. If the contract is concluded during the school year, it is valid until the end of the respective school year in which it is concluded.

A contract concluded in this mode is repeatedly and automatically renewed for each subsequent full school year unless either party terminates the contract no later than May 31 of the respective calendar year in writing via email or the Panda Ride Application.

When providing services in this mode, the Customer is obliged to pay the Carrier the agreed fee for the entire school year or its relevant part (if the contract was concluded during the school year) in advance and is not entitled to a refund, as the Carrier in this case arranges and reserves capacities for providing the transport to the Customer for the entire school year.

The Customer acknowledges that the selected transport mode cannot be changed unilaterally and may only be changed upon agreement with the Carrie

article IV.
CONCLUSION OF THE TRANSPORT CONTRACT
 

  1. Ways of concluding the Contract

The Transport Contract between the Carrier and the Customer is concluded by:

  • registration of the Customer in the Panda Ride Application with selection of the relevant service mode, or
  • via email communication, SMS, web forms, telephone call, personal conversation, mobile applications (e.g. WhatsApp), or
  • actual conduct – acceptance of the transport contract offer is also deemed to occur through the Customer’s actual use of the Carrier’s services.

Each party bears its own communication costs.

By concluding the Transport Contract, a binding legal relationship is established between the Customer and the Carrier, governed by these GTC, the content of which includes, in particular, the Carrier’s obligation to transport the Customer (and possibly their luggage) from the agreed pick-up point to the destination properly, and the Customer’s obligation to comply with the GTC and pay the agreed price for the transport. The Customer undertakes to properly comply with the selected transport mode, which cannot be changed unilaterally during the term of the transport contract and may only be changed upon agreement with the Carrier.

article V.
EXECUTION OF TRANSPORT, RIGHTS AND OBLIGATIONS, TERMINATION OF THE TRANSPORT CONTRACT

 

  1. General obligations of the parties

The Customer and the Carrier undertake to carry out the transport according to the Transport Contract concluded between them in the agreed mode. Communication between the parties takes place via the Panda Ride Application, SMS, email, telephone, and WhatsApp.

  1. Waiting time at the agreed Pick-Up Location

The Customer acknowledges that the Carrier waits at the agreed place of commencement of transport (agreed pick-up location) at the agreed time for only 10 minutes. After the fruitless lapse of 10 minutes, the Carrier’s Vehicle may depart from the agreed location, and under these circumstances, the Carrier is entitled to 100% of the agreed price for the transport that was frustrated by the Customer. 

  1. Changes and cancellations of rides

All changes or cancellations of agreed rides cannot be made unilaterally by the Customer and must be based on agreement with the Carrier. If a ride does not take place due to reasons attributable to the Customer, the ride and transport are deemed frustrated, and the Carrier is entitled to 100% of the agreed price for the transport.

  1. Driver’s obligations during transport

The Driver is obliged to:

a) behave politely and considerately towards the Customer,

b) maintain cleanliness and order in the Vehicle,

c) ensure safe, comfortable, and calm transport of the Customer and their Luggage,

d) carry out transport via the most suitable route considering the current traffic situation; another route may only be used with the Customer’s consent.

  1. Customer’s obligations during transport

The Customer is obliged to:

a) follow the instructions of the Driver and the Carrier regarding the transport,

b) comply with Act No. 361/2000 Coll., on Road Traffic, as amended,

c) properly use seat belts throughout the entire transport, from boarding to disembarking (regardless of whether the Vehicle is moving),

d) not interfere in any way with the operation or control of the Vehicle,

e) not board or disembark while the Vehicle is moving,

f) not smoke (including electronic cigarettes), eat or drink,

g) not be under the influence of alcohol or narcotic or psychotropic substances, nor consume such substances during transport,

h) sit in the seat designated by the Driver, not stand, kneel or lie down,

i) not place Luggage on seats,

j) not lean out of windows,

k) not throw objects out of the Vehicle or allow items to protrude out of the window,

l) behave politely and considerately, refrain from loud or noisy behavior and not play music (even recorded),

m) not damage or dirty the Vehicle,

n) not disturb or harm other Customers.

  1. Transport of children and minors

Children and minors under the age of 18 may be transported only with the consent of a legal guardian. Children whose body weight does not exceed 36 kg and height does not exceed 150 cm may only be transported in a child car seat, and the Customer is obliged to notify the Carrier of this requirement in sufficient time, at the latest upon conclusion of the Transport Contract. If the Transport Contract is concluded by the legal guardian of the child, it is deemed that they agree to the Carrier transporting their children under the terms of the Transport Contract and these GTC, and also consent to the Carrier processing and storing the children’s personal data provided by the Customer when arranging the Transport Contract.

  1. Termination of the transport contract by the Carrier

Notice of Termination:

A Transport Contract concluded for a one-time ride cannot be terminated. A Transport Contract concluded for regular ride – flexible mode may be terminated by the Carrier without stating a reason with a two-month notice period, which begins on the first day of the month following the delivery of the notice. A Transport Contract concluded for regular ride annual with automatic renewal may be terminated by the Carrier only by sending a notice to the Customer no later than May 31 of the relevant calendar year, with such a contract always ending at the end of the respective school year. The provisions of the Civil Code regarding contract termination shall not apply.

Withdrawal from the contract:

The Carrier and its Driver are entitled to withdraw from the Transport Contract with the Customer only in the following cases:

a) The Customer repeatedly disobeys the Carrier’s or Driver’s instructions (especially safety-related),

b) the Customer repeatedly breaches any of their obligations under point 5 of this article and fails to remedy the breach even after repeated warnings by the Carrier or Driver,

c) the Customer intends to or does transport Prohibited Luggage and fails to rectify this even after repeated warnings by the Carrier or Driver,

d) the Customer is not medically fit for safe use of the Vehicle (e.g., shows symptoms of infectious disease) and does not rectify the situation within a reasonable time after being asked to do so by the Carrier or Driver. The provisions of the Civil Code on contract withdrawal shall not apply. Withdrawal from the contract in the above cases must be made via email, the Application, SMS or WhatsApp, always with a reason stated. Upon delivery of the withdrawal notice, the contract terminates.

  1. Termination of the transport contract by the Customer

Notice of termination:

A Transport Contract concluded for a one-time ride cannot be terminated. A Transport Contract concluded for regular ride – flexible mode may be terminated by the Customer without stating a reason with a two-month notice period, which begins on the first day of the month following the delivery of the notice. A Transport Contract concluded for regular ride – annual with automatic renewal may be terminated by the Customer only by sending notice to the Carrier no later than May 31 of the relevant calendar year, with such a contract always ending at the end of the respective school year. The provisions of the Civil Code regarding contract termination shall not apply.

Withdrawal from the Contract:

If the Customer is a consumer, they may withdraw from the Transport Contract without giving a reason within 14 days of its conclusion.

After the 14-day period, the Customer is entitled to withdraw from the Transport Contract with the Carrier only in the following cases:

a) the Carrier repeatedly fails to comply with the agreed transport mode and schedule and fails to rectify the issue even after repeated requests from the Customer,

b) the Driver repeatedly breaches any of the obligations under point 4 of this article and fails to rectify the issue even after repeated requests from the Customer,

c) the Driver is not medically fit for safe operation of the Vehicle (e.g., shows symptoms of infectious disease) and the Carrier does not ensure a remedy within a reasonable period after being notified by the Customer.

The Customer must address all such notices solely to the Carrier, otherwise they will not be considered. The provisions of the Civil Code on contract withdrawal shall not apply. Withdrawal must be addressed to the Carrier via email, Application, SMS or WhatsApp, always with a reason stated. Upon delivery of the withdrawal notice, the contract terminates.

  1. Other provisions related to transport execution
  • The Driver may verify the nature and contents of Luggage in the presence of the Customer.
  • The Customer agrees that the Carrier may take photos of the Customer and their children during transport and use them for marketing and advertising purposes free of charge.
  • The transport is considered complete once the Customer exits the Vehicle at the destination. Any further activities by the Carrier (e.g., escorting or handing over the child) are beyond the scope of the agreed Transport Contract.
  • The Customer is obliged to pay for any mutually agreed changes to the transport during its execution. 

article VI.
PRICE FOR TRANSPORT AND ITS PAYMENT
 

  1. Payment obligation

The Customer is obliged to pay the Carrier the price agreed upon for the transport..

  1. Method of payment

The price for the transport shall be paid by the Customer to the Carrier via cashless transfer to the account based on a pro forma or final invoice issued by the Carrier. Unless agreed otherwise, the due date of the price for the transport is 7 days from the date of issuance of the invoice.

  1. Due date

Unless the Customer and the Carrier explicitly agree otherwise, the Carrier is entitled to require payment of the agreed price for the transport in advance (before the execution of the agreed transport), with a due date of 7 days from the issuance of the invoice, which will be delivered to the Customer. In this case, the Carrier may demand 100% of the agreed amount from the Customer. 

article VII.
OTHER PROVISIONS
 

  1. Exclusion of liability

The Customer is not entitled to compensation from the Carrier in connection with the transport if the Customer was not transported on time due to a reason not caused by the Driver (e.g., traffic accident, detour, unsuitable instructions from the Customer regarding the direction or route, impassable roads, adverse weather conditions, other unforeseeable events or the elimination of their consequences), or if navigation was non-functional due to reasons beyond the control of the Carrier or Driver (signal outages, etc.).

The Carrier is not liable for any direct or indirect damage caused by the installation, use, or update of the Application, including damage to the mobile device, data loss, battery consumption, excessive use of mobile data, or incompatibility with the Customer’s device.

  1. System changes and maintenance

The Carrier reserves the right to modify or change the functionality of the system, interrupt its operation, or limit the availability of the Panda Ride Application at any time and without prior notice. This right also includes the option to temporarily or permanently block access for individual users.

  1. Governing law

All legal relationships arising from the transport between the Customer and the Carrier shall be governed by the laws of the Czech Republic.

article VIII.
FINAL PROVISIONS
 

  1. Subsidiarity of legal regulations

Legal relationships not regulated by these GTC or the Transport Contract shall be governed by the applicable legal regulations of the Czech Republic.

  1. Amendments to the GTC

The Carrier reserves the right to change these GTC at any time. The new version of the GTC will be published in the Application and/or on the Carrier’s website, taking effect no earlier than 30 days after publication. If the Customer does not express disagreement with the change in writing (via email or the Application) within 30 days of publication and continues to use the Carrier’s services, it is deemed that the Customer agrees without reservation, and the new GTC becomes part of the Transport Contract. A Customer who expresses written disagreement within 30 days continues the contractual relationship under the original GTC.

  1. Effectiveness

These GTC are valid and effective from 1 August 2025.
